Vendor Terms

By entering into this Agreement or continuing to provide services or products to us, the Vendor agrees to the following terms and conditions. --- **1. Agreement Acceptance** By providing goods, services, or products to **Apidesign.tech**, the Vendor acknowledges and agrees to be bound by the terms and conditions outlined in this Agreement. This Agreement will supersede any prior understandings or agreements between the parties. --- **2. Scope of Services** The Vendor will provide products, services, and/or solutions as agreed upon in a separate purchase order, contract, or agreement. The specific scope of work, timelines, and compensation will be defined in such documents. All work and services must be completed in accordance with the specifications provided by **Apidesign.tech**. --- **3. Vendor Responsibilities** The Vendor agrees to: - Deliver products or services on time and in accordance with the terms and conditions set forth in the agreement. - Ensure that all products or services meet the required quality standards, are free from defects, and comply with all applicable laws, standards, and regulations. - Maintain appropriate insurance coverage, including but not limited to general liability, workers' compensation, and any insurance required by law. - Provide accurate invoices and maintain transparent financial records. - Inform **Apidesign.tech** of any potential delays, issues, or changes related to the products or services being provided. --- **4. Payment Terms** Payment for goods and services will be made according to the terms specified in the applicable purchase order or contract. Independent Contractor Status** The Vendor is an independent contractor, and nothing in this Agreement shall be construed as creating an employer-employee relationship between the parties. The Vendor will not have any authority to bind **Apidesign.tech** in any manner or enter into agreements on its behalf. --- **8. Intellectual Property Rights** Unless otherwise specified in a separate agreement, all intellectual property rights (including trademarks, patents, copyrights, and trade secrets) related to any work or products provided by the Vendor will remain the property of **Apidesign.tech** upon payment in full for such products or services. --- **9. Indemnification** The Vendor agrees to indemnify, defend, and hold harmless **Apidesign.tech**, its employees, agents, and affiliates, from any claims, damages, losses, or expenses arising from the Vendor's performance of services or provision of products, including but not limited to claims related to personal injury, property damage, or intellectual property infringement. --- **10. Termination** Either party may terminate this Agreement with written notice under the following conditions: - If the other party breaches any term of this Agreement and fails to cure such breach within [30] days after receiving written notice. - If either party becomes insolvent or is subject to bankruptcy proceedings. - If either party reasonably determines that the relationship is no longer in the best interest of both parties. Upon termination, the Vendor will return any confidential information and cease all work immediately. --- **11.
